Section 1: OLA ELECTRIC TECHNOLOGY PRE-ORDER TERMS AND CONDITIONS
These booking terms (“Booking Terms”) apply to you (hereinafter referred to as “You” or “Your” or “Customer”) and Ola Electric Technologies Private Limited having its registered office at Regent Insignia, #414, 3rd Floor 4th Block, 17th Main, 100 Feet Road Koramangala Bangalore, Karnataka – 560034, India (hereinafter referred to as “Ola Electric” or “We” or “Us”) when you pre-order Ola S1 or Ola S1 Pro ("Scooter") with Us.
Kindly read and understand these Booking Terms carefully. If these Booking Terms are not acceptable to You or You are not eligible to accept these Booking Terms or book the Scooter under the applicable laws, please do not proceed with the booking. To the extent applicable, You hereby give your consent to receiving marketing and/or promotional communications from Us through all communication channels including but not limited to SMS, WhatsApp, e-mails and push notifications.
1. PRE-ORDER
By accepting these Booking Terms, You hereby confirm that You wish to pay an advance for OLA scooter which will be set off from the final price of the vehicle at the time of purchase.You understand that We may not have begun manufacturing the Scooter at the time of Your pre-order or Scooter may still be in development stage. Placing a pre-order does not guarantee that Scooter will be available to You nor does it constitute an offer to sell. However, in case the scooter is not allotted to you, the pre-order amount would be refundable in full.
The amount that you are paying does not include any taxes including but not limited to Goods and Service Tax.
2. NATURE OF AGREEMENT; NON-BINDING PRE-ORDER PAYMENT
Subject to clause 6 below, the pre-order payment is the amount stated in the payment description provided to you in connection with this Booking Terms (“Pre-Order Payment”) and is refundable should you decide not to purchase a Scooter; subject the conditions thatYou have not (i) already entered into a purchase agreement with OET; or (ii) paid for the Scooter in full; or (iii) have already purchased the Scooter. This Agreement does not constitute an agreement for the sale of a Scooter and does not lock in pricing, a production slot, or an estimated delivery date. This Agreement does not create an obligation on You to purchase a Scooter from Us and does not create an obligation on Us to manufacture and sell the Scooter. If and when We notify You of the availability of a Scooter and You wish to proceed with the purchase of a Scooter, such sale and purchase will be governed by a separate and legally binding purchase agreement between You and Us or between You and a dealer authorized by Us.
3. EFFECTIVE DATE; PRE-ORDER PROCESS
These Booking Terms shall become effective and shall apply to You when we receive both: (1) Your consent to agree to these Booking Terms and (2) Your Pre-Order Payment. Once this Booking Terms become effective and applicable, You will be placed on the pre-orders list and You will receive communication about the Scooter.
It is clarified that in respect of Clause 3(2) your payment in the event of any post-paid payment mechanisms offered by any payment gateways/wallets will be deemed to be accepted only when the same has been cleared by the respective payment gateways/wallets. In the event the same is not cleared, your booking shall automatically stand cancelled.
Upon successful payment of Booking Amount, the system will generate a transaction order ID, acknowledging the receipt of payment towards the booking of the Scooter made online.
Ola Electric may require certain information or documents for undertaking its obligations and performance under these Booking Terms. You represent and warrant that the information provided is accurate and complete. All collection, storage and disclosure of information or documents provided by You and/or shared by third party will be in accordance with our Privacy Policy.
You hereby agree to receive email communication/newsletters (promotional and marketing emails) from Ola Electric. You further expressly waive Do Not Call (DNC) / Do Not Disturb (DND) registrations on Your phone/mobile numbers for contacting You for such promotional/marketing purposes
4. PURCHASE PRICE
The price of the Scooter and any option pricing may not be available at the time of Your pre-order and, if pricing is available, it is subject to change without any intimation to You until agreed upon in a duly executed purchase agreement.
5. DEFERRAL, MODIFICATION AND NON-TRANSFERABILITY
If You do not wish to enter into a purchase agreement at the time that you are contacted by Us, You will give up your pre-order sequence position completely and/or will be entitled to defer to a later position as determined subject to the conditions below. However, such deferral is permitted only 1 (one) time.). If You do not communicate Your decision to us within ten (10) days of notification, You will automatically be granted such a deferral. This Agreement is not transferable or assignable to another party without the prior written approval by Us.
You may also modify the variant or color of the Scooter basis the availability anytime however, such modification may change Your priority or pre-order sequence.
6. PRIORITY
We will establish your pre-order sequence position in our sole discretion. We may decline pre-orders to avoid over-subscription, if We are unable to commence shipping of the Scooter to Your region or as We deem appropriate in our sole discretion. If Your pre-order is declined, You will be notified and Your Pre-Order Payment will be refunded within 15 working days of such refund being initiated.
7. DISCLAIMER OF WARRANTIES
We make no representation or warranty of any kind, express or implied, in connection with this Agreement or its subject matter. You hereby disclaim any and all representations and warranties as maybe available to You under applicable law or otherwise, including but not limited to, any implied warranties of merchantability and/or fitness for a particular purpose, quality, course of dealings, usage of trade, accuracy, quiet enjoyment or non-infringement, all of which are expressly disclaimed. In view of Our endeavor to continuously improve and innovate Our Scooter, Ola Electric reserves the right to modify or alter or change the specifications, features, design without any prior written notice and without any liability.
8. LIMITATION OF LIABILITY
8.1Notwithstanding anything under this Agreement, if We are held liable for any damages related to Your pre-order or this Agreement, Your sole and exclusive remedy will be limited to reimbursement of the Pre-Order Payment paid to Us and you agree that Our cumulative liability whether under tort or contract or otherwise will be limited to the reimbursement of the Pre-Order Payment.
8.2Further, under no circumstances will We be held liable for any indirect or consequential loss or damage, including any and all (a) loss of opportunity (including loss of contract or right to offer or tender); (b) lost opportunity cost; (c) loss of business; (d) reduction or damage to goodwill; (e) damage to name or reputation; (f) loss or corruption of data, and regardless of whether any or all of these circumstances are considered to be indirect or consequential losses or damage, in contract, tort (including negligence), under any statute or law or otherwise arising out of our breach of this Agreement, even if We have been advised of the possibility of occurrences which would or might lead to such loss or damages
9. GOVERNING LAW AND JURISDICTION
This Agreement is governed by the laws of India without regard to its conflict of law provisions. Disputes that arise from the Agreement, and which cannot be settled amicably through mutual negotiation, shall be subject to the exclusive jurisdiction of the courts at Bangalore, Karnataka.
10. MISCELLANEOUS

10.1Ola Electric reserves the right to change any of the terms and conditions of these Booking Terms at any time. We will provide notice of any material changes by posting an announcement on the official web-site of Ola Electric. You may review these terms regularly to ensure that You are aware of any changes made by us. The continued use of our Website / Services by You, after changes are posted means that You agree to be legally bound by these Terms and Conditions as updated and/or amended. In the case of any violation of these Terms and Conditions or any additional terms posted on Our Website, we reserve the right to seek all remedies available by law and in equity for any such violations.

10.2If any provision of these Booking Terms is held to be unenforceable, it shall be severed and the remaining provisions will remain enforceable. The severed provision will be replaced by an enforceable provision most nearly reflecting the intention of the parties.

Any notice or other communication given pursuant to these Booking Terms must be in English language in writing and should be sent at support@olaelectric.com
11. DISCLAIMERS
11.1You shall ensure the compliance of all applicable laws including the applicable provisions of the Information Technology Act, 2000 and its allied rules as amended from time to time.
11.2All personal data accumulated will be acquired, processed and used according to the applicable regulations governing the protection of personal data for the sole purpose of managing and maintaining Ola Electric’s own legitimate business interests.
11.3The use of this Website / Service is entirely at Your own risk, and in no event will Ola Electric be liable for any damages, including without limitation direct or indirect, special, incidental, punitive, exemplary or consequential damages, losses or expenses arising in connection with the Website / Service or any linked site or use thereof or inability to use by any party, or in connection with any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, etc. even if Ola Electric or its authorized representative has been advised of the possibility of such damages. To the fullest extent permitted by law, Ola Electric:
(i)excludes all representations and warranties relating to this Website / Services and its content or which is or may be provided by any other third party, including in relation to any inaccuracies or omissions in the Website / Services; and
(ii)excludes all liability for damages arising out of or in connection with the disclosure of the information and/or Your use of the Website. This includes, without limitation, direct loss, loss of business or profits (whether or not the loss of such profits was foreseeable, arose in the normal course of things or You have advised Us of the possibility of such potential loss), damage caused to You in any manner whatsoever including but not limited to Your computer, computer software, systems and programs and the data thereon or any other direct or indirect, consequential and incidental damages.
11.4You shall indemnify and hold harmless Ola Electric, its, affiliates, subsidiaries and its respective officers, directors, agents, and employees, from any losses, claims, chargebacks or demand, or actions including reasonable attorneys' fees, or penalty imposed due to or arising out of breach of these terms and conditions, Terms of Use, Privacy Policy and other policies of Ola Electric by You, Your use of the Website/Services or any act or omission of Yours in violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) by You.
Section 2: OLA SCOOTER BOOKING TERMS AND CONDITIONS
These booking terms (“Booking Terms”) apply to you (hereinafter referred to as “You” or “Your” or “Customer”) and Ola Electric Technologies Private Limited having its registered office at Regent Insignia, #414, 3rd Floor 4th Block, 17th Main, 100 Feet Road Koramangala Bangalore, Karnataka – 560034, India (hereinafter referred to as “Ola Electric” or “We” or “Us”) when you pre-order Ola S1 or Ola S1 Pro ("Scooter") with Us.
Kindly read and understand these Booking Terms carefully. By continuing your payment journey and making the final advance payment, you agree to the Booking Terms. If these Booking Terms are not acceptable to You or You are not eligible to accept these Booking Terms or to book the Scooter under applicable laws, please do not proceed with the booking. To the extent applicable, You hereby give your consent to receiving marketing and/or promotional communications from Us through all communication channels including but not limited to SMS, WhatsApp, e-mails and push notifications.
Please note that these Booking Terms are applicable only to the sale of Ola Scooters in India.
1. BOOKING
By accepting these Booking Terms, You hereby confirm that You wish to pay the final advance for the Ola scooter and thereby finalizing your intent to purchase the Ola Scooter. You understand that the manufacture of the Ola Scooter is contingent upon several factors including but not limited to availability of parts and therefore the delivery time is indicative and not binding on Us. Booking an Ola Scooter does not guarantee that Ola Scooter will be made available to You nor does it constitute an offer to sell. However, if the Ola Scooter is not allotted to you, the booking amount would be refundable in full.
2. NATURE OF AGREEMENT, CANCELLATION AND REFUND
Subject to Clause 4 below, the Booking amount is the amount stated in the payment description provided to you in connection with this Booking Terms (“Booking Amount”) and is refundable should you decide not to purchase the Ola Scooter; subject to the condition that the final invoice for the payments against the Ola Scooter is not raised by Us. The refund amount is subject to applicable deductions on account of cost which will be borne by Us to initiate and process such Cancellation Request.
Once the invoice is generated You will not be eligible for cancellation/refund of your Booking. These Terms and Conditions constituting the Final Purchase Agreement shall be communicated to you on your registered email id and mobile number when you are intimated that Your Ola Scooter is ready to be shipped, which as stated above shall come into effect at the time the Ola Scooter is shipped from the Ola FutureFactory.

If You do not wish to enter into the Final Purchase Agreement at the time that you are contacted by Us, You will give up your Booking position completely and the terms of Cancellation and Refund described above shall follow. You may be given an option to defer to a later Booking position as determined in Our sole discretion. However, such deferral, if permitted, can be availed only 1 (one) time.). This Agreement is not transferable or assignable to another party without the prior written approval by Us.
5. DEFERRAL, MODIFICATION AND NON-TRANSFERABILITY
If You do not wish to enter into a purchase agreement at the time that you are contacted by Us, You will give up your pre-order sequence position completely and/or will be entitled to defer to a later position as determined subject to the conditions below. However, such deferral is permitted only 1 (one) time.). If You do not communicate Your decision to us within ten (10) days of notification, You will automatically be granted such a deferral. This Agreement is not transferable or assignable to another party without the prior written approval by Us.

6. TEST RIDES
We will be opening the booking for Test Rides slots in select cities and You will receive the intimation of the same on your registered email ID and mobile number. Should you choose to book a Test Ride, you are requested to carefully read and then agree to the Test Ride Terms and Conditions which will be made available.
7. OPTIONAL ACCESSORIES
You agree and acknowledge that the Performance Upgrade for Ola S1 Pro and the Home Charger manufactured and sold by Ola Electric Mobility Pvt Ltd are optional accessories only and come for the indicated cost.
8. INTELLECTUAL PROPERTY
We alone (along with Our licensors, where applicable) own all right, title and interest, including all related intellectual property rights, in relation to
The Ola Scooter, any related services and any suggestions, ideas, enhancement requests, feedback, recommendations or any other offering;
Text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork and computer code; or
other information provided by You or any other party relating to the Ola Scooter or any related services. Third party trademarks, if any, may appear on the Platform and all rights therein are reserved to the registered owners of those trademarks. For use of any third party's intellectual property, You need to get permission directly from the owner of the intellectual property for any use.
These Booking Terms do not convey to You any rights of ownership in or related to the Application or the Service, or any intellectual property rights owned by Us. You shall be solely responsible for any violations of any laws and for any infringements of any intellectual property rights caused by use of the Ola Scooter or any related services.

12. MISCELLANEOUS
Any services in relation to Financing or provisioning of Insurance for Your Ola Scooter are being facilitated by Ola Financial Services Pvt Ltd and their terms and conditions for the respective services shall be applicable as communicated by them. We are not engaged in the insurance or financing business and do not provide any insurance or financing services. We not guarantee or make any promise in relation to the insurance policy/ insurance company financing services/financing company, including but not limited to any benefits from use of the insurance/financing services provided by the respective companies.
Ola Electric reserves the right to change any of the terms and conditions of these Booking Terms at any time. We will provide notice of any material changes by posting an announcement on the official web-site of Ola Electric. You may review these terms regularly to ensure that You are aware of any changes made by us. The continued use of our Website / Services by You, after changes are posted means that You agree to be legally bound by these Terms and Conditions as updated and/or amended. In the case of any violation of these Terms and Conditions or any additional terms posted on Our Website, we reserve the right to seek all remedies available by law and in equity for any such violations.
Conflict: In the event of any contradiction or inconsistency between these Booking Terms and any other agreement executed between You and Us, the terms of these Booking Terms shall prevail unless the exception has been expressly agreed to in writing by referring to the relevant Clause sought to be modified under these Booking Terms.
Force Majeure: We shall not be liable for any failure to perform any obligations under this Terms of Use, if the performance is prevented, hindered or delayed by any event arising due to any cause beyond the reasonable control of the Company (“Force Majeure Event”) and in such case our obligations under this Terms of Use shall be suspended for so long as the Force Majeure Event continues.
Assignment: You cannot assign or otherwise transfer Your obligations under these Terms of Use, or any right granted hereunder to any third party. The Company's rights under these Terms of Use are freely transferable by the Company to any third parties without the requirement of seeking Your consent.
Severability: If, for any reason, a court of competent jurisdiction finds any provision of these Terms of Use, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of the parties as reflected by that provision, and the remainder of these Terms of Use shall continue in full force and effect.
Waiver: Any failure by the Company to enforce or exercise any provision of these Terms of Use, or any related right, shall not constitute a waiver by the Company of that provision or right.
Relationship: You acknowledge that Your participation on the Application, does not make You an employee or agency or partnership or joint venture or franchise of the Company.
Notice: Any notice or other communication given pursuant to these Booking Terms must be in English language in writing and should be sent at legal@olaelectric.com.

13. DISCLAIMERS

Section 3: HomeCharger Installation services Terms and Conditions(by Ola Electric Mobility Pvt Ltd)
To the extent applicable, You hereby give your consent to receiving marketing and/or promotional communications from Us through all communication channels including but not limited to SMS, WhatsApp, e-mails and push notifications.
What's Included?

Prerequisites for Installation
1.The installation site must be located in your designated parking area.
2.Prior to installation, you must obtain necessary permission(s) or authorization(s) required for installation at the installation address including requisite permission(s) or authorization(s) to access any common (or third party) property for the purpose.
3.You must ensure that the Company’s installation partner can safely and properly access the installation site including any common (or third party) area and carry out the installation in a safe and peaceful manner.
4.You must ensure the availability of electricity connection from the customer’s main panel or MCB from where the power can be sourced.
Inability to Install
Company shall not be responsible in any manner whatsoever if the installation has not been performed or completed or cannot be performed or completed because (i) necessary permission(s) or authorization(s) have not been obtained by you; (ii) you or your representative is not present for installation at the appointed time; (iii) you have failed to furnish the documents as may be required by the Company and (iv) there is non-availability of electricity connection for the purposes of installation. In case of inability to install due to failure in meeting prerequisites, cancellation and refund will not be possible.
Cancellation and Refund
1.You can cancel the installation service up to 24 hours post the purchase of the home charger, at no extra charge. In case of cancellation of the installation service post 24 hours of the said purchase, the complete installation fee shall stand forfeited.
Warranty
The installation service has a warranty of 6 months, which is applicable from the date of installation of the service. During this period, repairs or replacement will not be charged.
Section 4: Hello Revolutionaries!
Customers can now access the 'Ola Electric Owners Community' through the link and/or entry point named [enter name] on the same page as their purchase journey. This Ola Electric Owners Community offers a common - non-public platform to the Customers and the Company to interact with each other with the purpose of making our Ola Electric Owners Community stronger and to extend our Mission Electric towards a positive direction.
The Ola Electric Owners Community can be accessed through the URL - community.olaelectric.comand the Customer will be redirected to the Discourse page where they will be automatically signed in with their login credentials. Customers can start their own threads and can also participate in new discussion threads started by the Company itself.
It is pertinent to note that the login credentials used above should be the same with which they had logged in to purchase their Ola Electric Scooter.
The Ola Electric Owners Community strictly prohibits use of any profane, violent or objectionable content (including but not limited to words and pictures) which results in outraging the modesty of a person (natural or body corporate) or disparaging the Company’s brand in any manner whatsoever. The Company through its moderators reserves the right to approve or reject posts shared by Customers in the Ola Electric Owners Community AND the Company’s decision in this regard shall be final and binding. The Company further reserves the right to initiate appropriate legal action against such posts as mentioned above.
The Customers are further restricted from making copies of any format of the discussions threads on the Ola Electric Owners Community on any media platforms, including but not limited to social media platforms, existing or prospective without prior written consent of the Company.
Once the Ola Electric Owners Community is accessed, the Customer shall be governed by the instant Terms and Conditions and the Terms of Use and Privacy Policy of Discourse.
Section 5: Software License
You acknowledge that the Ola Scooter is supported by certain underlying software and open source software components. The same may utilize or include third party software components as well. The copyright notices, license terms, disclaimers and acknowledgements for such third party software components are contained in the electronic documentation available here. Your use of such third party software components is governed by the respective third party license terms and in addition to such terms the disclaimer of warranty and limitation of liability provision under these Terms of Use shall apply. In the event of any conflicts between these Terms of Use and any applicable third party license terms, such third party license terms will apply solely with respect to the applicable third party software component. Further, You shall not and shall not allow any third party to:
- modify, create derivative work, enhance, adapt, decrypt, reverse engineer, decompile or disassemble the software product including but not limited to the underlying software and open source software components, or otherwise attempt to derive the source code for the software product except and solely to the extent required by the applicable third party licensing terms governing the use of certain third party software components that may be included in the software product.
- remove, minimize, obscure, block or modify any proprietary notices of the Company or its suppliers in the software;
- use the software in any way that is against the law.
